1. Acceptance of Terms

Welcome to PT. Nusantara Teknologi Cakrawala ("NUSATEC"). By accessing or using our website, services, products, or any demo applications (collectively, the "Services"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, please do not use our Services.

We reserve the right to modify these Terms at any time. Your continued use of the Services after any changes constitutes acceptance of the modified Terms.

2. Use of Services

2.1 Eligibility

Demo accounts are provided for evaluation purposes only. We reserve the right to terminate demo access at any time.

3. Intellectual Property Rights

All content, features, and functionality of the Services, including but not limited to text, graphics, logos, icons, images, audio clips, software, and data compilations, are the exclusive property of NUSATEC or its licensors and are protected by Indonesian and international copyright, trademark, patent, trade secret, and other intellectual property laws.

3.2 Trademarks

NUSATEC, NUSA-Fleets, NUSA-Edge, NUSA-Agent, NUSA-Insights, and all related names, logos, product and service names, designs, and slogans are trademarks of PT. Nusantara Teknologi Cakrawala. You may not use these marks without our prior written permission.

3.3 User Content

If you submit, upload, or provide any content to our Services, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content in connection with operating and improving our Services.

4. Privacy and Data Protection

Your use of the Services is also governed by our Privacy Policy. Please review our Privacy Policy to understand how we collect, use, and protect your information.

5. Third-Party Services and Links

Our Services may contain links to third-party websites, applications, or services that are not owned or controlled by NUSATEC. 6. Disclaimers and Warranties

6.1 "As Is" Basis

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

6.2 No Guarantee

NUSATEC does not warrant that:

• The Services will be uninterrupted, timely, secure, or error-free
• The results obtained from the use of the Services will be accurate or reliable
• Any errors in the Services will be corrected
• The Services will meet your requirements or expectations

6.3 Demo and Prototype Services

Demo applications and prototypes are provided for evaluation and testing purposes only. They may contain bugs, errors, or incomplete features. Use of demo services is at your own risk.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NUSATEC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of or inability to access or use the Services
• Any conduct or content of any third party on the Services
• Unauthorized access, use, or alteration of your transmissions or content
• Any other matter relating to the Services

IN NO EVENT SHALL NUSATEC'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT PAID BY YOU TO NUSATEC IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED DOLLARS (USD $100), WHICHEVER IS GREATER.

8. Indemnification

You agree to indemnify, defend, and hold harmless NUSATEC, its affiliates, officers, directors, employees, agents, licensors, and suppliers from and against all losses, expenses, damages, and costs, including reasonable attorneys' fees, resulting from:

• Your violation of these Terms
• Your violation of any third party rights, including intellectual property rights
• Your use of the Services
• Any content you submit or transmit through the Services

9. Term and Termination

These Terms remain in effect while you use the Services. We may suspend or terminate your access to the Services at any time, with or without cause, with or without notice, effective immediately.

Upon termination, your right to use the Services will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

10. Governing Law and Dispute Resolution

10.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Indonesia, without regard to its conflict of law provisions.

10.2 Dispute Resolution

Any dispute arising out of or relating to these Terms or the Services shall first be attempted to be resolved through good faith negotiation. If the dispute cannot be resolved through negotiation within thirty (30) days, the parties agree to submit to the exclusive jurisdiction of the courts located in Jakarta, Indonesia.

11. General Provisions

11.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and NUSATEC regarding the use of the Services.

11.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

11.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

11.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

11.5 Force Majeure

NUSATEC shall not be liable for any failure to perform its obligations where such failure results from any cause beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, or internet service provider failures.

12. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by updating the "Last Updated" date at the top of these Terms. Your continued use of the Services after such changes constitutes your acceptance of the modified Terms.
